ENGAGEMENT
Fixed-Scope SOW & Retainers

Welcome to the website and service directory of The Skill Corner. By accessing this website, requesting diagnostic audit materials, or entering into an engineering engagement, you agree to comply with and be bound by the following commercial terms and delivery standards.

01 / ENGAGEMENT STRUCTURE

1. Service Scope & Engagements

The Skill Corner is a software and systems engineering studio delivering custom software development, API integration, and autonomous automation pipelines:

Diagnostic & Starter Tiers

Managed service tiers provided on a monthly agreement. Onboarding, maintenance, and monitoring are included. You may cancel prior to the next billing cycle without long-term lock-in.

Custom Practice Builds

Scoped, quoted, and executed under a signed Statement of Work (SOW). Scope, timelines, and deliverable specifications require written client approval before code is written.

02 / OPERATIONAL PREREQUISITES

2. Client Responsibilities

To build, test, and maintain operational systems against your live workflows, you agree to:

Secure Platform Access

Provide timely and secure access to required third-party tools (booking portals, EMRs, practice management systems, and CRMs) via scoped API tokens or delegated developer credentials.

Active Vendor Subscriptions

Maintain active, funded accounts for third-party platforms utilized in your infrastructure (e.g., Twilio, OpenAI/Anthropic API portals, Cal.com, or CRMs).

Change Notifications

Notify our engineering team promptly of internal configuration, field schema, or API changes that could impact active automation endpoints.

03 / OWNERSHIP & LICENSING

3. Intellectual Property

All custom components, automation scripts, and workflow pipelines built specifically for your business under an approved Statement of Work belong fully to you upon receipt of final payment.

Generic library connectors, pre-existing orchestration engines, and proprietary diagnostic utilities remain the intellectual property of The Skill Corner and are licensed to you on a perpetual, royalty-free basis for the continued operation of your systems.

04 / RISK ALLOCATION & WARRANTIES

4. Limitation of Liability

While we build, test in staging, and monitor all automations for uptime and deterministic behavior:

Third-Party Upstream Outages

We are not liable for communication delays, missed appointments, or operational interruptions caused by upstream provider outages (e.g. carrier SMS drops, model provider downtime, or third-party CRM failures).

Outcome Disclosures

All case studies, diagnostic calculators, and scenario models on this website represent illustrative estimates or historical baselines and do not constitute contractual financial guarantees.

05 / JURISDICTION

5. Governing Law

These Terms of Service and any separate Statement of Work shall be governed by, construed, and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

06 / POLICY EVOLUTION

6. Modifications

We reserve the right to modify these commercial terms as engineering standards evolve. Updated terms will be published to this URL with a revised effective date. Continued use of our systems following modifications constitutes agreement to the updated terms.

07 / RISK REVERSAL & COMMERCIAL GUARANTEES

7. 30-Day Money-Back Guarantee & Refund Policy

We believe engineering engagements must produce demonstrable commercial return. Our refund and satisfaction policies operate under clear, objective standards:

1. Software Subscriptions & Vertical Operating Systems (100% Refundable)

All recurring software subscription packages, purpose-built bundles, vertical operating systems, and single intelligence briefings (including Business Buyer OS, Deal Hunter Pack, Founder Growth OS, Small Business COO, and E-Commerce Launch) are backed by an unconditional 30-day money-back guarantee. If you are not satisfied within thirty (30) calendar days of your initial subscription start date, contact us at info@theskillcorner.com. We will issue a 100% refund of recurring subscription fees paid for that initial 30-day period. Normal API and telephony usage incurred during the 30-day trial period is absorbed as operating cost by The Skill Corner. Only exceptional, separately customer-authorized metered expenditures disclosed prior to expenditure may be excluded from refunds. Subscriptions may be cancelled at any time before the next monthly renewal date with no advance notice requirement.

2. Custom Engineering & Turnkey Deployments

Custom engineering engagements (such as Core System Deployments and Bespoke Practice Infrastructure) proceed under written Statements of Work with agreed milestone specifications and sign-off gates. Milestone payments compensate dedicated engineering hours and become non-refundable once milestone deliverables have been inspected and accepted in writing according to the SOW. Following milestone deployment, custom builds include a thirty (30) calendar day defect remediation period covering defects against agreed acceptance criteria. New requirements, enhancements, or scope changes are not covered under defect remediation and require separate scoping. Bespoke managed-operation contracts are governed by their individual Statement of Work (SOW) or Master Services Agreement (MSA).

3. Refund Initiation & Banking Settlement

Upon receiving and approving an eligible refund request under our guarantee, The Skill Corner's internal operational target is to initiate the refund via our payment processor within two (2) business days. External financial settlement and posting time to your original payment method are governed by your card issuer and payment network; third-party settlement schedules are not within our direct control. Upon refund processing, automated worker dispatches cease, while you retain ownership of deliverables produced during the evaluation period.
